1. Who we are

Minada ("Minada", "we", "us") operates the platform at minada.ke. Minada gives business owners ("merchants") software to create an online store, manage products, orders, stock and deliveries, and receive payments. These terms are a binding agreement between you and Minada. By creating an account or using the platform, including shopping on a store hosted on Minada, you accept them. If you do not agree, do not use the platform.

2. Minada is a platform, not the seller

Every store on Minada is owned and run by its merchant. When you buy from a store, your contract of sale is with that merchant, not with Minada. We provide the software only. We do not own, stock, inspect or deliver the products sold, and we make no promise about their quality, safety, legality or fitness for any purpose. Product listings, prices, photos and descriptions are the merchant's responsibility.

Any dispute about an order, including refunds, returns, exchanges or product claims, is between the buyer and the merchant. We may help pass messages along, but we are not obliged to resolve disputes and we are not liable for their outcome.

3. Accounts

  • You must be at least 18 years old to open a merchant account.
  • The information you give us must be accurate and kept up to date.
  • You are responsible for everything done through your account. Keep your login details safe. Sensitive changes, such as payout details, require extra verification and we may refuse a change we cannot verify.
  • Store names and web addresses are allocated on a first come basis. We may reclaim, reassign or refuse any name that is reserved, misleading, infringing or abusive.

4. Payments, fees and settlement

Online payments are processed by independent licensed payment processors. When a buyer pays by mobile money, the money moves through the processor and settles directly to the merchant's own settlement account. Minada does not hold, control or transmit merchant funds and does not operate a wallet.

  • Minada charges 0% commission on sales. The payment processor deducts its own transaction fee from each online payment before settlement. That fee belongs to the processor and is set by the processor, and it may change without notice from us.
  • We may introduce or change platform fees in future. If we do, we will give merchants reasonable notice before any fee takes effect.
  • Cash on delivery is collected by the merchant or their rider. Minada is not involved in cash handling in any way and bears no responsibility for cash amounts.
  • Payment timing, settlement schedules, reversals and chargebacks are governed by the payment processor's and the relevant mobile money provider's terms, not ours.

5. Deliveries

Delivery options shown at checkout, including agent pickup points, a merchant's own riders, matatu courier and in-store pickup, are provided by the merchant and third-party carriers, not by Minada. When the platform books a delivery it does so on the merchant's behalf, and the carrier's own terms apply. Minada is not a carrier and is not liable for loss, damage or delay of goods in transit.

6. Your content

Merchants keep ownership of the content they upload, such as product photos, names and descriptions. By uploading it you give Minada a worldwide, royalty-free licence to host, display, reproduce and promote that content for the purpose of running and marketing the platform and your store, for as long as your account exists. You confirm you have the rights to everything you upload.

The Minada name, logo, the Nia character and the platform's design and code belong to Minada. You may not copy, resell or reverse engineer any part of the platform.

7. Acceptable use

  • No selling anything illegal, counterfeit, stolen or regulated without a licence.
  • No fraud, misleading listings or impersonation.
  • No abuse of the platform, including spam, scraping, probing or overloading it.
  • No use of the platform to harm others or to break any law of Kenya.

We may remove content, suspend or close any store or account, at our discretion and without prior notice, where we believe these terms or the law are being broken, or to protect the platform, merchants or buyers. Where practical we will tell you why.

8. The service is provided as is

Minada is under active development and parts of it are offered in beta. The platform is provided as is and as available, without warranties of any kind, whether express or implied. We do not promise that the platform will be uninterrupted, error free or always available, and we may change, suspend or withdraw features at any time. We depend on third parties, including payment processors, mobile money providers, hosting providers and carriers, and we are not responsible for their outages or failures.

9. Limitation of liability

To the maximum extent permitted by the law of Kenya, Minada is not liable for any indirect or consequential loss, loss of profit, revenue, data or goodwill, or for any loss arising from a sale between a buyer and a merchant, goods in transit, cash handling, payment processing by third parties, or your breach of these terms. For any claim that is not excluded, Minada's total liability is limited to the fees you paid to Minada in the 12 months before the claim arose. Nothing in these terms excludes liability that cannot be excluded by law.

10. Indemnity

Merchants agree to indemnify Minada against any claim, loss or expense, including legal fees, arising from their store, their products, their sales, their content, their taxes or their breach of these terms or the law.

11. Taxes

Merchants are solely responsible for their own tax affairs, including registering for, charging, filing and paying any tax due on their sales. Minada does not withhold or remit taxes on merchants' behalf.

12. Ending this agreement

You can stop using Minada and close your account at any time. We can suspend or end this agreement as described in section 7. Sections that by their nature should survive, including sections 2, 6, 9, 10 and 11, survive termination.

13. Changes to these terms

We may update these terms from time to time. The date above shows the current version. For material changes we will give notice on the platform or by email. Continuing to use Minada after a change takes effect means you accept the updated terms.

14. Governing law and contact

These terms are governed by the laws of Kenya and the courts of Kenya have exclusive jurisdiction. If something goes wrong, talk to us first at minadabypickupmtaani@gmail.com and we will try to sort it out informally.
